Upon agreeing to work with Flashyminds, a service agreement will be drafted that outlines the project scope, timelines, payment terms, and deliverables. Both parties are required to sign this agreement before work commences.
2.3. Client Responsibilities
The client agrees to provide all necessary information, materials, and approvals needed for Flashyminds to perform services. Delays in providing these materials may result in project delays, and Flashyminds is not responsible for missed deadlines due to client-related issues.
3. Intellectual Property
3.1. Ownership of Work
All designs, logos, websites, and content created by Flashyminds remain the intellectual property of Flashyminds until full payment for the project is received. Once payment is completed, ownership of the deliverables will be transferred to the client.
3.2. Third-Party Materials
If Flashyminds uses any third-party materials (such as stock images or licensed software), we will ensure that the necessary licenses are obtained. The client agrees not to use these materials beyond the agreed-upon scope without proper licenses.
4. Payments
4.1. Payment Terms
Payment terms, including the total cost of services, payment schedule, and any deposit requirements, will be specified in the service agreement. Invoices are to be paid within the time period agreed upon, typically within 15 days of invoice receipt unless otherwise stated.
4.2. Late Payments
Flashyminds reserves the right to halt project work or delivery of any final materials if payment is not received within the agreed-upon timeframe. A late fee may apply for overdue payments.
5. Refund Policy
5.1. Non-Refundable Deposits
Flashyminds typically requires a non-refundable deposit before commencing work on any project. This deposit is necessary to cover initial planning and development costs. Once paid, the deposit cannot be refunded.
5.2. Service Refunds
Refunds on completed services are not offered. Flashyminds provides detailed project plans and regular client check-ins to ensure work aligns with client expectations throughout the process. Once work is completed and delivered, all payments are final.
5.3. Cancellation Refunds
If a client wishes to cancel the project mid-way, a partial refund may be provided at Flashyminds’ discretion, based on the amount of work already completed. The refund will not include any non-refundable deposits or payments for completed phases of the project. The client will be required to pay for work already performed up to the point of cancellation.
5.4. Refunds for Digital Products
For any digital products or deliverables (such as designs, websites, or branding materials), no refunds will be given once the final product has been delivered to the client and approved.
6. Termination
6.1. Termination by Client
The client may terminate the service agreement at any time by providing written notice. The client will be responsible for any work completed up to the point of termination, including any non-refundable deposits.
6.2. Termination by Flashyminds
Flashyminds reserves the right to terminate services at any time if the client breaches the terms of the agreement or engages in unlawful activities. In this event, the client will still be responsible for paying for any completed work.
7. Limitation of Liability
7.1. No Guarantees
While Flashyminds makes every effort to provide excellent service and meet client expectations, we do not guarantee specific results such as increased traffic, revenue, or rankings, as these outcomes can depend on many external factors beyond our control.
7.2. Liability for Damages
Flashyminds will not be held liable for any direct, indirect, incidental, or consequential damages resulting from the use of our website or services, including any loss of data, business interruption, or financial loss.
8. Confidentiality
8.1. Client Information
Flashyminds agrees to keep all client information and project details confidential. We will not share or disclose any sensitive information to third parties without the client’s consent.
8.2. Non-Disclosure Agreement (NDA)
If required, Flashyminds is willing to sign a Non-Disclosure Agreement to further ensure the confidentiality of proprietary client information.
9. Use of Client Work for Portfolio
9.1. Portfolio Display
Flashyminds reserves the right to showcase completed work in our portfolio, website, and marketing materials, unless the client explicitly requests otherwise. Any such request must be communicated in writing before the start of the project.
10. Governing Law
